PLEASE READ THESE TERMS CAREFULLY. By accessing or using Wizium, you agree to be legally bound by these Terms & Conditions (“Terms”).
These Terms are part of the overall agreement (the “Agreement”) between you (“you”) and HandyTech-FZCO (“Wizium,” “Company,” “we,” “us,” or “our”).
The Agreement governs your use of our platform, analytics, information, applications, websites, and related products and services (collectively, the “Services”), provided you comply with the Agreement. If you use the Services on behalf of a company or other entity, then “you” includes you and that entity, and you represent and warrant that (a) you are authorized to bind that entity to the Agreement, and (b) you agree to the Agreement on that entity’s behalf.
By accessing or using the Services in any manner, you agree to:
Wizium provides software tools that may generate analytics, recommendations, and automated workflows to support business operations and decision-making. The Services are provided as a SaaS offering and do not involve the sale or delivery of physical goods by Wizium.
Decision-support only. You acknowledge and agree that the Services are intended to assist with analysis and workflow execution, but do not guarantee outcomes. Business results depend on many factors outside Wizium’s control.
No professional advice. The Services do not constitute legal, tax, accounting, financial, investment, compliance, or other regulated professional advice. You are responsible for obtaining professional advice where appropriate and for making your own decisions.
You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Services. By using the Services, you represent and warrant that you meet this requirement.
To access most features, you must register for an account. When creating your account, you agree to provide accurate, current, and complete information and to keep it updated. If we reasonably believe the information you provide is inaccurate, not current, or incomplete, we may deny access to the Services or suspend/terminate your account.
You are responsible for all activity that occurs under your account and for maintaining the confidentiality of your login credentials. You must notify us promptly of any unauthorized use of your account or any security breach. Wizium is not liable for losses caused by unauthorized account use, but you may be liable for losses incurred by Wizium or others due to such unauthorized use.
Some features may be offered free of charge, for a limited trial period, or as part of promotional access. Other features require a paid subscription.
If you purchase a subscription, your subscription may auto-renew at the frequency shown at checkout or in your account settings, unless you cancel prior to renewal. You are responsible for managing your subscription settings and ensuring cancellation occurs before the renewal date to avoid future charges.
You agree to pay all fees and applicable taxes for the Services you select. By submitting payment details, you authorize Wizium (and its payment processors) to charge your selected payment method.
Unless required by applicable law or expressly stated in writing by Wizium, payments are non-refundable, and we do not provide credits or refunds for partial periods or unused time. If payment is late or cannot be processed, we may suspend or restrict access until payment is received. You remain responsible for any outstanding amounts, including permitted collection costs.
The Services may be used only: (i) for lawful internal business purposes; (ii) by the number of users/seat limits permitted under your plan; (iii) without unauthorized modification or circumvention of technical restrictions; and (iv) in compliance with applicable laws and any documentation or instructions we provide.
You may not:
You will keep confidential any non-public information about the Services and our business that a reasonable person would understand to be confidential (“Confidential Information”), and you will protect it using at least reasonable industry-standard measures.
The Services may include features powered by artificial intelligence. You acknowledge that AI-generated content may be inaccurate, incomplete, or inappropriate and may not reflect real-world conditions.
You agree to:
Subject to your compliance with the Agreement, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Services during the term of your subscription. Our obligations regarding personal data are described in our Privacy Policy.
We have no obligation to monitor content within the Services. However, we may monitor, review, and disclose information where we reasonably believe it is necessary to:
Wizium provides tools and information intended to support decision-making. We do not guarantee sales, profitability, marketplace ranking, supplier performance, delivery timelines, account standing, approvals, reinstatements, or any other business or platform outcome.
You acknowledge that results depend on numerous external factors beyond Wizium’s control, including third-party platforms, market conditions, supplier behavior, advertising, pricing, inventory, and compliance.
The Services may integrate with third-party platforms and services (“Third-Party Platforms”). Wizium does not own or operate Third-Party Platforms and is not responsible for their availability, security, functionality, or policies. You are responsible for reviewing and complying with any terms, rules, or policies imposed by Third-Party Platforms (“Third-Party Terms”). Your use of Third-Party Platforms is solely between you and the third party.
If you connect a Third-Party Platform, you authorize us to access and process the data you make available through that integration, to provide the Services. You represent and warrant that you have the necessary rights and permissions to grant that authorization.
Wizium and its licensors retain all rights, title, and interest in and to the Services, including software, interfaces, designs, branding, documentation, and all related intellectual property rights, except for User Content.
You retain ownership of your User Content. You grant Wizium a worldwide, non-exclusive license to host, store, reproduce, process, transmit, and display your User Content only as necessary to provide, maintain, secure, and improve the Services, and to enforce the Agreement.
As between you and Wizium, you may use AI Outputs made available to you through the Services, subject to the Agreement. You acknowledge that: (i) AI Outputs may not be unique and may be similar to outputs generated for other users; and (ii) Wizium does not guarantee AI Outputs are non-infringing or suitable for a particular purpose.
If you provide feedback, ideas, or suggestions, you grant Wizium a perpetual, irrevocable, royalty-free right to use them without restriction or compensation.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES (INCLUDING AI OUTPUTS) ARE PROVIDED “AS IS” AND “AS AVAILABLE.”
WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ACCURACY.
We do not warrant that the Services will be uninterrupted, secure, error-free, or free of harmful components, or that any information or outputs will be accurate or complete.
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
WIZIUM WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO THE SERVICES OR THE AGREEMENT.
WIZIUM’S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED THE TOTAL FEES PAID BY YOU TO WIZIUM FOR THE SERVICES DURING THE SIX (6) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM (OR US$10 IF YOU USED THE SERVICES WITHOUT PAYMENT).
Some jurisdictions do not allow certain limitations, so some of the above may not apply.
You agree to defend, indemnify, and hold harmless Wizium and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to:
These Terms remain effective until terminated by you or Wizium. You may terminate the Agreement at any time by canceling your subscription in accordance with your plan settings (or as otherwise described in the Services).
We may suspend or terminate your access (with or without notice) if we reasonably believe you have violated the Agreement, pose a risk to the Services or others, or fail to pay applicable fees when due. After termination, Wizium will have no obligation to provide the Services. Provisions that by their nature should survive will survive, including IP, disclaimers, limitation of liability, indemnification, and dispute resolution.
We may update these Terms from time to time and may modify or discontinue aspects of the Services. We will provide notice as required by applicable law (e.g., by posting within the Services or sending email).
Continued use after changes take effect constitutes acceptance of the updated Terms. If you do not agree to updated Terms, your sole remedy is to stop using the Services and cancel your subscription.
These Terms and any dispute arising out of or relating to the Services or the Agreement are governed by the laws of the United Arab Emirates and, to the extent applicable, the laws and regulations of the Emirate of Dubai, without regard to conflict-of-laws principles.
Before initiating formal proceedings, you agree to contact Wizium and attempt to resolve disputes in good faith. To the maximum extent permitted by applicable law, disputes shall be brought in the competent courts of Dubai, United Arab Emirates, and you consent to jurisdiction and venue there.
Assignment. You may not assign the Agreement without our prior written consent. Wizium may assign the Agreement as part of a merger, acquisition, reorganization, or sale of assets.
Severability. If any provision is found unenforceable, the remainder will remain in effect.
No Waiver. Failure to enforce any provision is not a waiver.
Entire Agreement. The Agreement is the entire agreement between you and Wizium regarding the Services and supersedes prior agreements on the subject.
Compliance. You agree to comply with applicable export controls and sanctions laws.
